Definitions

  1. Priscilla Sattar Synergy Minds, established in Vagevuur 41, Chamber of Commerce no. 93898460.
  2. Customer: the party which Priscilla Sattar Synergy Minds has entered into an agreement with.
  3. Parties: Priscilla Sattar Synergy Minds and customer together.
  4. Consumer: a customer who is an individual acting for private purposes.

Applicability

  1. These terms and conditions will apply to all quotations, offers, activities, orders, agreements, and deliveries of services or products by or on behalf of Priscilla Sattar Synergy Minds. 
  2. Parties can only deviate from these conditions if they have explicitly agreed upon in writing.
  3. The parties expressly exclude the applicability of supplementary and/or deviating general terms and conditions of the customer or of third parties.

Offers and quotations

  1. Offers and quotations from Priscilla Sattar Synergy Minds are without engagement, unless expressly stated otherwise.
  2. An offer or quotation is valid for a maximum period of 2 weeks from its date, unless another acceptance period is stated in the offer or quotation. 
  3. If the customer does not accept an offer or quotation within the applicable time frame, the offer or quotation will lapse.
  4. Offers and quotations do not apply to repeated orders, unless the parties have agreed upon this explicitly and in writing.

Acceptance

  1. Upon acceptance of a quotation or offer without engagement, Priscilla Sattar Synergy Minds reserves the right to withdraw the quotation or offer within 3 days after receipt of the acceptance, without any obligations towards the customer. 
  2. Verbal acceptance of the customer only commits Priscilla Sattar Synergy Minds after the customer has confirmed this in writing (or electronically).

Prices

  1. All prices used by Priscilla Sattar Synergy Minds are in euros, are inclusive of VAT and exclusive of any other costs such as administration costs, levies and travel-, shipping- or transport expenses, unless expressly stated otherwise or agreed otherwise.
  2. Priscilla Sattar Synergy Minds is entitled to adjust all prices for its products or services, shown in its shop, on its website or otherwise, at any time.
  3. Increases in the cost prices of products or parts thereof, which Priscilla Sattar Synergy Minds could not foresee at the time of making an offer or the conclusion of the agreement, may give rise to price increases. 
  4. The consumer has the right to terminate an agreement as a result of a price increase as referred to in paragraph 3, unless the increase is the result of statutory regulation.
  5. The price with regard to services is determined by Priscilla Sattar Synergy Minds on the basis of the actual working hours. 
  6. The price is calculated according to the usual hourly rates of Priscilla Sattar Synergy Minds, valid for the period in which he carries out the work, unless a different hourly rate has been agreed.
  7. If the parties have agreed on a total amount for a service provided by Priscilla Sattar Synergy Minds, this is always a target price, unless the parties have explicitly agreed upon in writing on a fixed price, which cannot be deviated from.
  8. Priscilla Sattar Synergy Minds is entitled to deviate up to 10% of the target price. 
  9. If the target price exceeds 10%, Priscilla Sattar Synergy Minds must let the customer know in due time why a higher price is justified. 
  10. If the target price exceeds 10%, the customer has the right to cancel the part of the order that exceeds the target price by 10%. 
  11. Priscilla Sattar Synergy Minds has the right to adjust prices annually. 
  12. Priscilla Sattar Synergy Minds will communicate price adjustments to the customer prior to the moment the price increase becomes effective.
  13. The consumer has the right to terminate the contract with Priscilla Sattar Synergy Minds if he does not agree with the price increase.

Payments and payment term

  1. Priscilla Sattar Synergy Minds may, at the conclusion of the agreement, require a down payment of up to 50% of the agreed amount. 
  2. The customer must have paid the full amount within , after delivery.
  3. Payment terms are considered as fatal payment terms. This means that if the customer has not paid the agreed amount at the latest on the last day of the payment term, he is legally in default, without Priscilla Sattar Synergy Minds having to send the customer a reminder or to put him in default. 
  4. Priscilla Sattar Synergy Minds reserves the right to make a delivery conditional upon immediate payment or to require adequate security for the total amount of the services or products.

Payments and payment term

  1. Products are immediately paid for.
  2. Priscilla Sattar Synergy Minds may, at the conclusion of the agreement, require a down payment of up to 50% of the agreed amount.
  3. The customer must pay invoices of Priscilla Sattar Synergy Minds within  __________, unless parties have made other agreements about this or if the invoice has a different payment term.
  4. Payment terms are considered as fatal payment terms. This means that if the customer has not paid the agreed amount at the latest on the last day of the payment term, he is legally in default, without Priscilla Sattar Synergy Minds having to send the customer a reminder or to put him in default. 
  5. Priscilla Sattar Synergy Minds reserves the right to make a delivery conditional upon immediate payment or to require adequate security for the total amount of the services or products. 

Consequences of late payment

  1. If the customer does not pay within the agreed term, Priscilla Sattar Synergy Minds is entitled to charge an interest per month for non-commercial transactions and an interest per month for commercial transactions from the day the customer is in default, whereby a part of a month is counted for a whole month.
  2. When the customer is in default, he is also due to extrajudicial collection costs and may be obliged to pay any compensation to Priscilla Sattar Synergy Minds. 
  3. The collection costs are calculated on the basis of the Reimbursement for extrajudicial collection costs. 
  4. If the customer does not pay on time, Priscilla Sattar Synergy Minds may suspend its obligations until the customer has met his payment obligation. 
  5. In the event of liquidation, bankruptcy, attachment or suspension of payment on behalf of the customer, the claims of Priscilla Sattar Synergy Minds on the customer are immediately due and payable. 
  6. If the customer refuses to cooperate with the performance of the agreement by Priscilla Sattar Synergy Minds, he is still obliged to pay the agreed price to Priscilla Sattar Synergy Minds. 

Right of recovery of goods 

  • As soon as the customer is in default, Priscilla Sattar Synergy Minds is entitled to invoke the right of recovery with regard to the unpaid products delivered to the customer.
  • Priscilla Sattar Synergy Minds invokes the right of recovery by means of a written or electronic announcement.
  • As soon as the customer has been informed of the claimed right of recovery, the customer must immediately return the products concerned to Priscilla Sattar Synergy Minds, unless the parties agree to make other arrangements about this. 
  • The costs for the collection or return of the products are at the expense of the customer.

Right of withdrawal 

  1. A consumer may cancel an online purchase during a cooling-off period of 14 days without giving any reason, provided that:
  2. the product has not been used
  3. it is not a product that can spoil quickly, like food or flowers
  4. the product is not specially tailored for the consumer or adapted to its special needs
  5. it is not a product that may not be returned for hygienic reasons (underwear, swimwear, etc.)
  6. the seal is still intact, when the product is a data carrier with digital content (DVDs, CDs, etc.)
  7. the service does not concern accommodation, travel, restaurant business, transport, catering assignment or form of leisure activity
  8. the product is not a separate magazine or a loose newspaper
  9. the purchase does not concern an (assignment to) urgent repair
  10. it does not concern a service that is fully performed with the consent of the customer within the 14 calendar days right of withdrawel period and the consumer has not renounced his right of withdrawal
  11. The cooling-off period of 14 days as referred to in paragraph 1 commences:
    1. on the day after the consumer has received the last product or part of 1 order
    2. as soon as the consumer has received the first the product of a subscription
    3. as soon as the consumer has purchased a service for the first time
    4. as soon as the consumer has confirmed the purchase of digital content via the internet
  12. The consumer can notify his right of withdrawal via info@ps-sm.com, if desired by using the withdrawal form that can be downloaded via the website of Priscilla Sattar Synergy Minds, https://www.ps-sm.com/.
  13. The consumer is obliged to return the product to Priscilla Sattar Synergy Minds within 14 days after the notification of his right of withdrawal, after which period his right of withdrawal will lapse. 

Reimbursement of delivery costs

  1. If the purchase costs and any other costs (such as delivery costs) are eligible for reimbursement according to the law, Priscilla Sattar Synergy Minds will refund these costs to the consumer within 14 days of receipt of the timely appeal to the right of withdrawal, provided that the consumer has returned the product to Priscilla Sattar Synergy Minds in time.
  2. The costs for return are only reimbursed by Priscilla Sattar Synergy Minds if the complete order is returned.

Reimbursement of return costs

If the consumer invokes his right of withdrawal and returns the entire order on time, the costs for returning the complete order will be borne by the consumer.  

Suspension of obligations by the customer

The customer waives the right to suspend the fulfillment of any obligation arising from this agreement.

Right of retention 

  1. Priscilla Sattar Synergy Minds can appeal to his right of retention of title and in that case retain the products sold by Priscilla Sattar Synergy Minds to the customer until the customer has paid all outstanding invoices with regard to Priscilla Sattar Synergy Minds, unless the customer has provided sufficient security for these payments. 
  2. The right of retention of title also applies on the basis of previous agreements from which the customer still owes payments to Priscilla Sattar Synergy Minds.
  3. Priscilla Sattar Synergy Minds is never liable for any damage that the customer may suffer as a result of using his right of retention of title.

Settlement 

The customer waives his right to settle any debt to Priscilla Sattar Synergy Minds with any claim on Priscilla Sattar Synergy Minds. 

Retention of title 

  1. Priscilla Sattar Synergy Minds remains the owner of all delivered products until the customer has fully complied with all its payment obligations with regard to Priscilla Sattar Synergy Minds under whatever agreement with Priscilla Sattar Synergy Minds including of claims regarding the shortcomings in the performance.
  2. Until then, Priscilla Sattar Synergy Minds can invoke its retention of title and take back the goods. 
  3. Before the property is transferred to the customer, the customer may not pledge, sell, dispose of or otherwise encumber the products. 
  4. If Priscilla Sattar Synergy Minds invokes its retention of title, the agreement will be dissolved and Priscilla Sattar Synergy Minds has the right to claim compensation, lost profits and interest.

Delivery 

  1. Delivery takes place while stocks last.
  2. Delivery takes place at Priscilla Sattar Synergy Minds unless the parties have agreed upon otherwise.
  3. Delivery of products ordered online takes place at the address indicated by the customer. 
  4. If the agreed price is not paid on time, Priscilla Sattar Synergy Minds has the right to suspend its obligations until the agreed price is fully paid. 
  5. In the event of late payment, the customer is automatically in default, and hereby he cannot object to late delivery by Priscilla Sattar Synergy Minds.

Delivery period

  1. Any delivery period specified by Priscilla Sattar Synergy Minds is indicative and does not give the customer the right to dissolution or compensation if this period is not met with, unless the parties have expressly agreed otherwise in writing.
  2. The delivery period starts after the customer has signed the agreement to Priscilla Sattar Synergy Minds and is confirmed in writing or electronically by Priscilla Sattar Synergy Minds to the customer. 
  3. Exceeding the specified delivery period does not entitle the customer to compensation or the right to terminate the contract, unless Priscilla Sattar Synergy Minds cannot deliver within 14 days after the customer has urged him to do so in writing or if the parties have agreed upon otherwise.

Actual delivery

The customer must ensure that the actual delivery of the products ordered by him can take place in time.

Transport costs 

Transport costs are paid by the customer, unless the parties have agreed upon otherwise.

Packaging and shipping 

  1. If the package of a delivered product is opened or damaged, the customer must have a note drawn up by the forwarder or delivery person before receiving the product. In the absence of which Priscilla Sattar Synergy Minds may not be held liable for any damage.
  2. If the customer himself takes care of the transport of a product, he must report any visible damage to products or the packaging prior to the transport to Priscilla Sattar Synergy Minds, failing which Priscilla Sattar Synergy Minds cannot be held liable for any damage.

Insurance

  1. The customer undertakes to insure and keep insured the following items adequately against fire, explosion and water damage as well as theft:
    1. goods delivered that are necessary for the execution of the underlying agreement
    2. goods being property of Priscilla Sattar Synergy Minds that are present at the premises of the customer
    3. goods that have been delivered under retention of title 
  2. At the first request of Priscilla Sattar Synergy Minds, the customer provides the policy for these insurances for inspection. 

Storage 

  1. If the customer orders products later than the agreed delivery date, the risk of any quality loss is entirely for the customer.
  2. Any extra costs as a result of premature or late purchase of products are entirely at the customer's expense.

Guarantee

  1.  When parties have entered into an agreement with services included, these services only contain best-effort obligations for Priscilla Sattar Synergy Minds, not obligations of results.
  2. The warranty relating to products only applies to defects caused by faulty manufacture, construction or material. 
  3. The warranty does not apply in the event of normal wear and tear and damage resulting from accidents, changes made to the product, negligence or improper use by the customer, or when the cause of the defect cannot clearly be established.
  4. The risk of loss, damage or theft of the products that are the subject of an agreement between the parties, will pass on to the customer when these products are legally and/or factually delivered, at least are in the power of the customer or of a third party who receives the product for the benefit of the customer.

Performance of the agreement

  1. Priscilla Sattar Synergy Minds executes the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship. 
  2. Priscilla Sattar Synergy Minds has the right to have the agreed services (partially) performed by third parties.
  3. The execution of the agreement takes place in mutual consultation and after written agreement and payment of the possibly agreed advance by the customer. 
  4. It is the responsibility of the customer that Priscilla Sattar Synergy Minds can start the implementation of the agreement on time.
  5. If the customer has not ensured that Priscilla Sattar Synergy Minds can start the implementation of the agreement in time, the resulting additional costs and/or extra hours will be charged to the customer.

Duty to inform by the customer 

  1. The customer shall make available to Priscilla Sattar Synergy Minds all information, data and documents relevant to the correct execution of the agreement to in time and in the desired format and manner.
  2. The customer guarantees the correctness, completeness and reliability of the information, data and documents made available, even if they originate from third parties, unless otherwise ensuing from the nature of the agreement. 
  3. If and insofar as the customer requests this, Priscilla Sattar Synergy Minds will return the relevant documents. 
  4. If the customer does not timely and properly provides the information, data or documents reasonably required by Priscilla Sattar Synergy Minds and the execution of the agreement is delayed because of this, the resulting additional costs and extra hours will be charged to the customer.

Duration of the service agreement 

  1. The agreement between Priscilla Sattar Synergy Minds and the customer is entered into for an indefinite period of time, unless it results otherwise from the nature of the agreement or the parties have expressly agreed otherwise in writing.
  2. If a fixed-term contract has been entered into, it will be tacitly converted into an open-ended contract at the end of the term, unless 1 of the parties terminates the contract with due observance of a notice period of 2 month(s), or if a consumer terminates the agreement with due observance of a notice period of 1 month causing the agreement to end at the end of the fixed term.
  3. If the parties have agreed upon a term for the completion of certain activities, this is never a strict deadline, unless specified explicitly otherwise in writing. If this term is exceeded, the customer must give Priscilla Sattar Synergy Minds a written reasonable term to terminate the activities, before it may either terminate the contract or claim damages.

Cancellation of the contract for an indefinite period of time 

  1. The customer can terminate an agreement that has been concluded for an indefinite period at any time with due observance of a notice period of 2 months.
  2. A consumer has the right to terminate an agreement for an indefinite period with due observance of a notice period of 1 month.

Intellectual property 

  1. Priscilla Sattar Synergy Minds retains all intellectual property rights (including copyright, patent rights, trademark rights, design and design rights, etc.) on all designs, drawings, writings, data carriers or other information, quotations, images, sketches, models, scale models, etc., unless parties have agreed otherwise in writing. 
  2. The customer may not copy or have copied the intellectual property rights without prior written permission from Priscilla Sattar Synergy Minds, nor show them to third parties and / or make them available or use them in any other way.

Confidentiality

  1. The client keeps any information he receives (in whatever form) from Priscilla Sattar Synergy Minds confidential.
  2. The same applies to all other information concerning Priscilla Sattar Synergy Minds of which he knows or can reasonably suspect that it is secret or confidential, or of which it can expect that its disclosure may cause damage to Priscilla Sattar Synergy Minds.
  3. The customer takes all necessary measures to ensure that he keeps the information referred to in paragraphs 1 and 2 secret. 
  4. The obligation of secrecy described in this article does not apply to information:
    1. which was already made public before the customer heard this information or which later became public without being the result of a violation of the customer's duty to confidentiality
    2. which is made public by the customer due to a legal obligation 
  5. The confidentiality obligation described in this article applies for the duration of the underlying agreement and for a period of 3 years after the end thereof. 

Penalties 

  1. If the customer violates the articles of these general terms and conditions about secrecy or intellectual property, then he forfeits on behalf of Priscilla Sattar Synergy Minds an immediately due and payable fine of € 1.000 if the customer is a consumer and € 5.000 if the customer is a company, for each violation and in addition an amount of 5% of the aforementioned amount for each day that this violation continues. 
  2. No actual damage, prior notice of default or legal proceedings are required in forfeiting the fine referred to in the first paragraph of this article. 
  3. The forfeiture of the fine referred to in the first paragraph of this article shall not affect the other rights of Priscilla Sattar Synergy Minds including its right to claim compensation in addition to the fine.

Indemnity

The customer indemnifies Priscilla Sattar Synergy Minds against all third-party claims that are related to the products and/or services supplied by Priscilla Sattar Synergy Minds. 

Complaints

  1. The customer must examine a product or service provided by Priscilla Sattar Synergy Minds as soon as possible for possible shortcomings.
  2. If a delivered product or service does not comply with what the customer could reasonably expect from the agreement, the customer must inform Priscilla Sattar Synergy Minds of this as soon as possible, but in any case within 1 month after the discovery of the shortcomings. 
  3. Consumers must inform Priscilla Sattar Synergy Minds of this within two months after detection of the shortcomings.
  4. The customer gives a detailed description as possible of the shortcomings, so that Priscilla Sattar Synergy Minds is able to respond adequately. 
  5. The customer must demonstrate that the complaint relates to an agreement between the parties.
  6. If a complaint relates to ongoing work, this can in any case not lead to Priscilla Sattar Synergy Minds being forced to perform other work than has been agreed. 

Giving notice

  1. The customer must provide any notice of default to Priscilla Sattar Synergy Minds in writing.
  2. It is the responsibility of the customer that a notice of default actually reaches Priscilla Sattar Synergy Minds (in time). 

Joint and several Client liabilities

If Priscilla Sattar Synergy Minds enters into an agreement with several customers, each of them shall be jointly and severally liable for the full amounts due to Priscilla Sattar Synergy Minds under that agreement. 

Liability of Priscilla Sattar Synergy Minds

  1. Priscilla Sattar Synergy Minds is only liable for any damage the customer suffers if and insofar as this damage is caused by intent or gross negligence. 
  2. If Priscilla Sattar Synergy Minds is liable for any damage, it is only liable for direct damages that results from or is related to the execution of an agreement.
  3. Priscilla Sattar Synergy Minds is never liable for indirect damages, such as consequential loss, lost profit, lost savings or damage to third parties.
  4. If Priscilla Sattar Synergy Minds is liable, its liability is limited to the amount paid by a closed (professional) liability insurance and in the absence of (full) payment by an insurance company of the damages the amount of the liability is limited to the (part of the) invoice to which the liability relates.
  5. All images, photos, colors, drawings, descriptions on the website or in a catalog are only indicative and are only approximate and cannot lead to any compensation and/or (partial) dissolution of the agreement and/or suspension of any obligation.

Expiry period

Every right of the customer to compensation from Priscilla Sattar Synergy Minds shall, in any case, expire within 12 months after the event from which the liability arises directly or indirectly. This does not exclude the provisions in article 6:89 Dutch Civil Code.

Dissolution

  1. The customer has the right to dissolve the agreement if Priscilla Sattar Synergy Minds imputably fails in the fulfillment of his obligations, unless this shortcoming does not justify termination due to its special nature or because it is of minor significance. 
  2. If the fulfillment of the obligations by Priscilla Sattar Synergy Minds is not permanent or temporarily impossible, dissolution can only take place after Priscilla Sattar Synergy Minds is in default. 
  3. Priscilla Sattar Synergy Minds has the right to dissolve the agreement with the customer, if the customer does not fully or timely fulfill his obligations under the agreement, or if circumstances give Priscilla Sattar Synergy Minds good grounds to fear that the customer will not be able to fulfill his obligations properly. 

Force majeure

  1. In addition to the provisions of article 6:75 Dutch Civil Code, a shortcoming of Priscilla Sattar Synergy Minds in the fulfillment of any obligation to the customer cannot be attributed to Priscilla Sattar Synergy Minds in any situation independent of the will of Priscilla Sattar Synergy Minds, when the fulfillment of its obligations towards the customer is prevented in whole or in part or when the fulfillment of its obligations cannot reasonably be required from Priscilla Sattar Synergy Minds . 
  2. The force majeure situation referred to in paragraph 1 is also applicable - but not limited to: state of emergency (such as civil war, insurrection, riots, natural disasters, etc.); defaults and force majeure of suppliers, deliverymen or other third parties; unexpected disturbances of power, electricity, internet, computer or telecoms; computer viruses, strikes, government measures, unforeseen transport problems, bad weather conditions and work stoppages. 
  3. If a situation of force majeure arises as a result of which Priscilla Sattar Synergy Minds cannot fulfill one or more obligations towards the customer, these obligations will be suspended until Priscilla Sattar Synergy Minds can comply with it. 
  4. From the moment that a force majeure situation has lasted at least 30 calendar days, both parties may dissolve the agreement in writing in whole or in part. 
  5. Priscilla Sattar Synergy Minds does not owe any (damage) compensation in a situation of force majeure, even if it has obtained any advantages as a result of the force majeure situation.

Modification of the agreement

If, after the conclusion of the agreement and before its implementation, it appears necessary to change or supplement its contents, the parties shall timely and in mutual consultation adjust the agreement accordingly. 

Changes in the general terms and conditions

  1. Priscilla Sattar Synergy Minds is entitled to amend or supplement these general terms and conditions. 
  2. Changes of minor importance can be made at any time. 
  3. Major changes in content will be discussed by Priscilla Sattar Synergy Minds with the customer in advance as much as possible.
  4. Consumers are entitled to cancel the agreement in the event of a substantial change to the general terms and conditions. 

Transfer of rights

  1. The customer cannot transfer its rights deferring from an agreement with Priscilla Sattar Synergy Minds to third parties without the prior written consent of Priscilla Sattar Synergy Minds. 
  2. This provision applies as a clause with a property law effect as referred to in Section 3:83 (2) Dutch Civil Code. 

Consequences of nullity or annullability

  1. If one or more provisions of these general terms and conditions prove null or annullable, this will not affect the other provisions of these terms and conditions. 
  2. A provision that is null or annullable shall, in that case, be replaced by a provision that comes closest to what Priscilla Sattar Synergy Minds had in mind when drafting the conditions on that issue.

Applicable law and competent court

  1. Dutch law is exclusively applicable to all agreements between the parties. 
  2. The Dutch court in the district where Priscilla Sattar Synergy Minds is established is exclusively competent in case of any disputes between parties, unless the law prescribes otherwise.

Artikel 1 - Definities

  1. Priscilla Sattar Synergy Minds: Priscilla Sattar Synergy Minds, gevestigd te Vagevuur 41, KvK-nummer 93898460.
  2. Klant: degene met wie Priscilla Sattar Synergy Minds een overeenkomst is aangegaan.
  3. Partijen: Priscilla Sattar Synergy Minds en Klant samen.
  4. Consument: een Klant die tevens een individu is en die als privépersoon handelt.

Artikel 2 - Toepasselijkheid 

  1. Deze voorwaarden zijn van toepassing op alle offertes, aanbiedingen, werkzaamheden, bestellingen, overeenkomsten en leveringen van diensten of producten door of namens Priscilla Sattar Synergy Minds.
  2. Priscilla Sattar Synergy Minds en de Klant kunnen alleen afwijken van deze voorwaarden als dat schriftelijk is afgesproken.
  3. Priscilla Sattar Synergy Minds en de Klant sluiten de toepasselijkheid van de algemene voorwaarden van de Klant of van anderen uitdrukkelijk uit.

Artikel 3 - Aanbiedingen en offertes

  1. Aanbiedingen en offertes van Priscilla Sattar Synergy Minds zijn vrijblijvend, tenzij daarin uitdrukkelijk anders vermeld.
  2. Een aanbod of offerte is maximaal 2 weken geldig, tenzij er een andere termijn in het aanbod of de offerte staat.
  3. Aanvaardt de Klant een aanbod of offerte niet binnen de geldende termijn, dan vervalt het aanbod of de offerte.
  4. Aanbiedingen en offertes gelden niet voor nabestellingen, tenzij Priscilla Sattar Synergy Minds en de Klant dit schriftelijk afspreken.

Artikel 4 - Aanvaarding 

  1. Bij aanvaarding van een vrijblijvende offerte of aanbieding, mag Priscilla Sattar Synergy Minds de offerte of het aanbod alsnog binnen 3 dagen na ontvangst van de aanvaarding intrekken, zonder dat de Klant hieraan enige rechten kan ontlenen. 
  2. Mondelinge aanvaarding van de Klant verbindt Priscilla Sattar Synergy Minds slechts, nadat de Klant deze schriftelijk of elektronisch heeft bevestigd.

 Artikel 5 - Prijzen

  1. Priscilla Sattar Synergy Minds hanteert prijzen in euro’s en inclusief btw en exclusief eventuele overige kosten zoals administratie- of verzendkosten, tenzij schriftelijk anders is afgesproken.
  2. Priscilla Sattar Synergy Minds mag de prijzen van zijn diensten en producten op zijn website en in andere uitingen altijd wijzigen. 
  3. De prijs met betrekking tot een dienstverlening wordt door Priscilla Sattar Synergy Minds vastgesteld op grond van de werkelijk bestede uren. 
  4. De prijs wordt berekend volgens de gebruikelijke uurtarieven van Priscilla Sattar Synergy Minds, geldend voor de periode waarin hij de werkzaamheden verricht, tenzij een afwijkend uurtarief is afgesproken.
  5. Wanneer Priscilla Sattar Synergy Minds en de Klant voor de dienstverlening een totaalbedrag afspreken, is dit altijd een richtprijs, tenzij schriftelijk anders is afgesproken..
  6. Priscilla Sattar Synergy Minds mag tot 10% van de richtprijs afwijken. 
  7. Priscilla Sattar Synergy Minds moet de Klant op tijd laten weten waarom een hogere prijs gerechtvaardigd is, wanneer de richtprijs meer dan 10% hoger uit gaat vallen. 
  8. De Klant mag het deel van de opdracht dat boven de richtprijs (vermeerderd met 10%) uitkomt laten vervallen, wanneer de richtprijs meer dan 10% hoger uit gaat vallen.
  9. Priscilla Sattar Synergy Minds mag zijn prijzen jaarlijks aanpassen. 
  10. Priscilla Sattar Synergy Minds zal prijsaanpassingen meedelen aan de Klant voorafgaand aan de ingang ervan.
  11. De consument mag de overeenkomst met Priscilla Sattar Synergy Minds opzeggen wanneer hij het niet eens is met de prijsverhoging.

Artikel 6 - Betalingen en betalingstermijn

  1. Priscilla Sattar Synergy Minds mag bij het aangaan van de overeenkomst een aanbetaling tot 50% van het afgesproken bedrag verlangen. 
  2. De Klant moet een betaling achteraf binnen 14 dagen na levering hebben voldaan.
  3. De betalingstermijnen die Priscilla Sattar Synergy Minds hanteert, zijn fatale betalingstermijnen. Dat betekent dat indien de Klant het afgesproken bedrag niet uiterlijk op de laatste dag van de betalingstermijn heeft betaald, hij automatisch in verzuim en in gebreke is, zonder dat Priscilla Sattar Synergy Minds aan de Klant een aanmaning hoeft te sturen of in gebreke hoeft te stellen. 
  4. Priscilla Sattar Synergy Minds mag een levering afhankelijk stellen van onmiddellijke betaling dan wel een zekerheidstelling eisen voor het totale bedrag van de diensten of producten.

Artikel 7 - Gevolgen te late betaling 

  1. Betaalt de Klant niet binnen de afgesproken termijn, dan mag Priscilla Sattar Synergy Minds de wettelijke rente per maand voor niet-handelstransacties en  de wettelijke rente per maand voor handelstransacties in rekening brengen vanaf de dag dat de Klant in verzuim is, waarbij een gedeelte van een maand voor een hele maand wordt gerekend.
  2. Wanneer de Klant in verzuim is, moet hij bovendien buitengerechtelijke incassokosten en eventuele schadevergoeding betalen aan Priscilla Sattar Synergy Minds. 
  3. De incassokosten worden berekend aan de hand van het Besluit vergoeding voor buitengerechtelijke incassokosten. 
  4. Wanneer de Klant niet op tijd betaalt, mag Priscilla Sattar Synergy Minds zijn verplichtingen opschorten totdat de Klant heeft betaald. 
  5. In geval van liquidatie, faillissement, beslag of surseance van betaling aan de zijde van de Klant, zijn de vorderingen van Priscilla Sattar Synergy Minds op de Klant onmiddellijk opeisbaar. 
  6. Weigert de Klant zijn medewerking aan de uitvoering van de overeenkomst door Priscilla Sattar Synergy Minds, dan moet hij nog steeds de afgesproken prijs betalen.

Artikel 8 - Herroepingsrecht 

  1. Een consument mag een online aankoop binnen 14 dagen na aankoop zonder opgave van reden ongedaan maken. Dit herroepingsrecht geldt niet wanneer: 
  • de dienst logies, een reis, een restaurantbedrijf, vervoer, een cateringopdracht of een vorm van vrijetijdsbesteding betreft
  • het een spoedreparatie betreft
  • het weddenschappen of loterijen betreft
  • de consument heeft afgezien van zijn herroepingsrecht
  • het een dienst betreft die met instemming van de Klant volledig worden uitgevoerd binnen de bedenktijd en waarbij de Klant uitdrukkelijk heeft verklaard van zijn herroepingsrecht af te zien
  1. De bedenktijd van 14 dagen in lid 1, begint:
    • zodra de consument een overeenkomst tot levering van een dienst heeft gesloten
    • zodra de consument bevestigd heeft dat hij digitale inhoud via internet gaat afnemen
  2. De consument kan gebruik maken van zijn bedenktijd door een mail met dat onderwerp te sturen naar info@ps-sm.com, eventueel met behulp van het herroepingsformulier dat beschikbaar is op de website van Priscilla Sattar Synergy Minds, https://www.ps-sm.com/.

Artikel 9 - Opschortingsrecht

  1. Tenzij de Klant een consument is, doet hij hierbij afstand van het recht om de nakoming van enige uit deze overeenkomst voortvloeiende verbintenis op te schorten.

Artikel 10 - Verrekening

  1. Tenzij de Klant een consument is, doet hij afstand van zijn recht om een schuld aan Priscilla Sattar Synergy Minds te verrekenen met een vordering op Priscilla Sattar Synergy Minds.

Artikel 11 - Verzekering

  1. De Klant moet de volgende zaken voldoende verzekeren en verzekerd houden tegen onder andere brand, ontploffings- en waterschade, en diefstal:
    • geleverde zaken die noodzakelijk zijn voor de uitvoering van de onderliggende overeenkomst
    • zaken van Priscilla Sattar Synergy Minds die bij de Klant aanwezig zijn
    • zaken die onder eigendomsvoorbehoud zijn geleverd
  2. De Klant geeft op eerste verzoek van Priscilla Sattar Synergy Minds de polis van deze verzekeringen ter inzage.

Artikel 12 - Garantie

  1. Wanneer de Klant en Priscilla Sattar Synergy Minds een overeenkomst met een dienstverlenend karakter zijn aangegaan, bevat deze voor Priscilla Sattar Synergy Minds enkel een inspanningsverplichting en dus geen resultaatsverplichting.

Artikel 13 - Uitvoering van de overeenkomst 

  1. Priscilla Sattar Synergy Minds voert de overeenkomst naar beste inzicht en vermogen en volgens de eisen van goed vakmanschap uit. 
  2. Priscilla Sattar Synergy Minds mag de afgesproken dienstverlening in zijn geheel of deels laten uitvoeren door anderen.
  3. De uitvoering van de overeenkomst gebeurt in overleg en na een schriftelijk akkoord en betaling van een eventueel voorschot door de Klant. 
  4. De Klant moet ervoor zorgen dat Priscilla Sattar Synergy Minds op tijd kan beginnen aan de uitvoering van de overeenkomst.
  5. Zorgt de Klant er niet voor dat Priscilla Sattar Synergy Minds tijdig kan beginnen, dan komen de daaruit voortvloeiende extra kosten voor rekening van de Klant.

Artikel 14 - Informatieverstrekking door de Klant 

  1. De Klant stelt alle informatie, gegevens en bescheiden die relevant zijn voor de correcte uitvoering van de overeenkomst tijdig en in gewenste vorm en op gewenste wijze beschikbaar aan Priscilla Sattar Synergy Minds.
  2. De Klant staat in voor de juistheid en volledigheid van de ter beschikking gestelde informatie, gegevens en bescheiden, ook indien deze van derden afkomstig zijn, voor zover uit de aard van de overeenkomst niet anders voortvloeit. 
  3. Wanneer en voor zover de Klant dit verzoekt, retourneert Priscilla Sattar Synergy Minds de betreffende bescheiden. 
  4. Stelt de Klant niet, niet tijdig of niet behoorlijk de door Priscilla Sattar Synergy Minds redelijkerwijs verlangde informatie, gegevens of bescheiden beschikbaar en loopt de uitvoering van de overeenkomst hierdoor vertraging op, dan komen de daaruit voortvloeiende extra kosten en extra uren voor rekening van de Klant.

Artikel 15 - Duur overeenkomst dienst 

  1. De overeenkomst tussen Priscilla Sattar Synergy Minds en de Klant betreffende een dienst of diensten wordt aangegaan voor onbepaalde tijd, tenzij uit de aard van de overeenkomst iets anders voortvloeit of anders wordt afgesproken.
  2. Wanneer de Klant een overeenkomst voor bepaalde tijd aangaat, dan wordt deze na afloop van de termijn stilzwijgend omgezet in een overeenkomst voor onbepaalde tijd, tenzij 1 van de partijen de overeenkomst opzegt met inachtneming van een opzegtermijn van 2 maanden, of een consument de overeenkomst opzegt met inachtneming van een opzegtermijn van 1 maand, waardoor de overeenkomst automatisch eindigt.

Artikel 16 - Opzeggen dienst voor onbepaalde tijd 

  1. De Klant kan een overeenkomst voor een dienst voor onbepaalde tijd opzeggen met een opzegtermijn van 2 maanden.
  2. Een consument mag een overeenkomst voor een dienst voor onbepaalde tijd opzeggen met een opzegtermijn van 1 maand.

Artikel 17 - Intellectueel eigendom 

  1. Priscilla Sattar Synergy Minds behoudt alle intellectuele eigendomsrechten op alle ontwerpen, tekeningen, geschriften, dragers met gegevens of andere informatie, offertes, afbeeldingen, schetsen, modellen en maquettes, tenzij anders is afgesproken. 
  2. De Klant mag de intellectuele eigendomsrechten in lid 1 niet zonder voorafgaande schriftelijke toestemming van Priscilla Sattar Synergy Minds aan anderen tonen, ter beschikking stellen of op een andere manier gebruiken.

Artikel 18 - Geheimhouding 

  1. De Klant houdt iedere informatie, in welke vorm dan ook, die hij van Priscilla Sattar Synergy Minds ontvangt geheim.
  2. Hetzelfde geldt voor alle andere informatie betreffende Priscilla Sattar Synergy Minds waarvan de Klant weet of redelijkerwijs kan vermoeden dat deze geheim of vertrouwelijk is, dan wel waarvan hij kan verwachten dat verspreiding ervan Priscilla Sattar Synergy Minds schade kan berokkenen.
  3. De Klant neemt alle nodige maatregelen om ervoor te zorgen dat hij de informatie in lid 1 en 2 geheimhoudt. 
  4. De in dit artikel omschreven geheimhoudingsplicht geldt niet voor informatie:
    • die al openbaar was voordat de Klant deze informatie vernam of die later openbaar is geworden zonder dat dit het gevolg was van een schending van de geheimhoudingsplicht van de Klant
    • die door de Klant openbaar gemaakt wordt op grond van een wettelijke plicht 
  5. De in dit artikel omschreven geheimhoudingsplicht geldt voor de duur van de onderliggende overeenkomst en voor een periode van 3 jaar na afloop daarvan.

Artikel 19 - Boetebeding

  1. Wanneer de Klant het artikel over geheimhouding of intellectueel eigendom overtreedt, dan moet hij aan Priscilla Sattar Synergy Minds voor elke overtreding een onmiddellijk opeisbare boete betalen.
  2. Is de Klant een consument dan bedraagt de boete in lid 1: € 1.000.
  3. Is de Klant geen consument dan bedraagt de boete in lid 1: € 5.000
  4. Daarnaast moet de Klant een bedrag van 5% van toepasselijke bedrag in lid 2 of 3 betalen voor elke dag dat die overtreding voortduurt.
  5. De Klant moet de boete in lid 1 betalen zonder dat een ingebrekestelling of gerechtelijke procedure nodig is. Ook hoeft er geen sprake te zijn van schade. 
  6. Priscilla Sattar Synergy Minds mag naast de boete in lid 1 ook een schadevergoeding eisen van de Klant.

Artikel 20 - Vrijwaring

  1. De Klant vrijwaart Priscilla Sattar Synergy Minds tegen alle aanspraken van anderen die verband houden met de door Priscilla Sattar Synergy Minds geleverde producten en/of diensten. 

Artikel 21 - Klachten

  1. De Klant moet een door Priscilla Sattar Synergy Minds geleverd product of verleende dienst zo snel mogelijk onderzoeken op eventuele tekortkomingen.
  2. Beantwoordt een geleverd product of verleende dienst niet aan dat wat de Klant redelijkerwijs mocht verwachten, dan moet de Klant Priscilla Sattar Synergy Minds daarvan op de hoogte te stellen binnen 1 maand na het vaststellen van de tekortkoming. 
  3. Een consument moet uiterlijk binnen 2 maanden na het vaststellen van de tekortkoming Priscilla Sattar Synergy Minds hiervan op de hoogte stellen.
  4. De Klant geeft daarbij een zo gedetailleerd mogelijke omschrijving van de tekortkoming, zodat Priscilla Sattar Synergy Minds hierop gepast kan reageren. 
  5. De Klant moet aantonen dat de klacht betrekking heeft op een overeenkomst tussen de Klant en Priscilla Sattar Synergy Minds.
  6. Wanneer een klacht gaat over lopende werkzaamheden, dan kan de Klant niet eisen dat Priscilla Sattar Synergy Minds andere werkzaamheden gaat verrichten dan is afgesproken.

Artikel 22 - Ingebrekestelling

  1. De Klant moet een eventuele ingebrekestelling schriftelijk kenbaar maken aan Priscilla Sattar Synergy Minds.
  2. De Klant is ervoor verantwoordelijk dat zijn ingebrekestelling Priscilla Sattar Synergy Minds ook daadwerkelijk op tijd bereikt. 

Artikel 23 - Aansprakelijkheid Klant

  1. Wanneer Priscilla Sattar Synergy Minds een overeenkomst aangaat met meerdere Klanten, is ieder van hen hoofdelijk aansprakelijk voor het nakomen van de afspraken in die overeenkomst. 

Artikel 24 - Aansprakelijkheid Priscilla Sattar Synergy Minds

  1. Priscilla Sattar Synergy Minds is alleen aansprakelijk voor schade die de Klant lijdt wanneer die schade is veroorzaakt door opzet of bewuste roekeloosheid.
  2. Wanneer Priscilla Sattar Synergy Minds aansprakelijk is voor schade, dan geldt dat alleen voor directe schade die verband houdt met de uitvoering van een onderliggende overeenkomst.
  3. Priscilla Sattar Synergy Minds is niet aansprakelijk voor indirecte schade, zoals gevolgschade, gederfde winst of schade aan derden.
  4. Wanneer Priscilla Sattar Synergy Minds aansprakelijk is, is deze aansprakelijkheid beperkt tot het bedrag dat door een gesloten (beroeps)aansprakelijkheidsverzekering wordt uitbetaald. Is er geen verzekering gesloten of wordt geen schadebedrag uitgekeerd, dan is de aansprakelijkheid beperkt tot het (gedeelte van het) factuurbedrag waarop de aansprakelijkheid betrekking heeft.
  5. Alle afbeeldingen, foto’s, kleuren, tekeningen, omschrijvingen op de website of in een catalogus zijn slechts indicatief en kunnen niet leiden tot enige vergoeding, ontbinding of opschorting. 

Artikel 25 - Vervaltermijn

  1. Elk recht van de Klant op schadevergoeding van Priscilla Sattar Synergy Minds vervalt 12 maanden na de gebeurtenis waaruit de aansprakelijkheid direct of indirect voortvloeit. Hiermee wordt niet uitgesloten het bepaalde in artikel 6:89 BW.

Artikel 26 - Ontbinding

  1. De Klant mag de overeenkomst ongedaan maken wanneer Priscilla Sattar Synergy Minds toerekenbaar tekortschiet in de nakoming van zijn verplichtingen, tenzij deze tekortkoming de ontbinding niet rechtvaardigt vanwege haar bijzondere aard of geringe betekenis. 
  2. Is de nakoming van de verplichtingen door Priscilla Sattar Synergy Minds nog mogelijk, dan kan ontbinding pas plaatsvinden nadat Priscilla Sattar Synergy Minds in verzuim is. 
  3. Priscilla Sattar Synergy Minds mag de overeenkomst met de Klant ongedaan maken, wanneer de Klant zijn verplichtingen uit de overeenkomst niet volledig of niet tijdig nakomt, dan wel wanneer Priscilla Sattar Synergy Minds kennis heeft genomen van omstandigheden die hem goede grond geven om aan te nemen dat de Klant zijn verplichtingen niet zal nakomen. 

Artikel 27 - Overmacht

  1. In aanvulling op artikel 6:75 BW geldt dat een tekortkoming van Priscilla Sattar Synergy Minds door de Klant niet aan Priscilla Sattar Synergy Minds kan worden toegerekend wanneer er sprake is van overmacht. 
  2. Onder de overmachtsituatie in lid 1 valt onder meer ook:
    - een noodtoestand zoals een burgeroorlog of natuurramp
    - wanprestatie of overmacht van toeleveranciers, bezorgers of anderen
    - stroom-, elektriciteits- internet-, computer- of telecomstoringen
    - computervirussen
    - stakingen
    - overheidsmaatregelen
    - vervoersproblemen
    - slechte weersomstandigheden
    - werkonderbrekingen
  3. Wanneer zich een overmachtsituatie voordoet waardoor Priscilla Sattar Synergy Minds 1 of meer verplichtingen naar de Klant niet kan nakomen, dan worden die verplichtingen opgeschort totdat Priscilla Sattar Synergy Minds kan nakomen. 
  4. Vanaf het moment dat een overmachtsituatie ten minste 30 kalenderdagen heeft geduurd, mogen zowel de Klant als Priscilla Sattar Synergy Minds de overeenkomst schriftelijk in zijn geheel of deels ongedaan maken. 
  5. Priscilla Sattar Synergy Minds hoeft in een overmachtsituatie geen vergoeding aan de Klant te betalen, ook niet wanneer Priscilla Sattar Synergy Minds hiervan voordeel heeft. 

Artikel 28 - Wijziging overeenkomst 

  1. Wanneer het voor de uitvoering ervan nodig is om een gesloten overeenkomst te wijzigen, kunnen de Klant en Priscilla Sattar Synergy Minds de overeenkomst aanpassen. 

Artikel 29 - Wijziging algemene voorwaarden

  1. Priscilla Sattar Synergy Minds mag deze algemene voorwaarden wijzigen. 
  2. Wijzigingen van ondergeschikt belang mag Priscilla Sattar Synergy Minds altijd doorvoeren. 
  3. Ingrijpende wijzigingen zal Priscilla Sattar Synergy Minds zoveel mogelijk vooraf met de Klant bespreken.
  4. Een consument mag bij een ingrijpende wijziging van de algemene voorwaarden de onderliggende overeenkomst opzeggen. 

Artikel 30 - Overgang van rechten

  1. De Klant kan geen rechten uit een overeenkomst met Priscilla Sattar Synergy Minds aan anderen overdragen zonder schriftelijke toestemming van Priscilla Sattar Synergy Minds. 
  2. Deze bepaling geldt als een beding met goederenrechtelijke werking zoals in artikel 3:83 lid 2 BW. 

Artikel 31 - Gevolgen nietigheid of vernietigbaarheid

  1. Wanneer 1 of meerdere bepalingen van deze algemene voorwaarden nietig of vernietigbaar blijken, dan heeft dit geen invloed op de overige bepalingen van deze voorwaarden. 
  2. Een bepaling die nietig of vernietigbaar is, wordt in dat geval vervangen door een bepaling die het dichtst in de buurt komt van wat Priscilla Sattar Synergy Minds bij het opstellen van de voorwaarden op dat punt voor ogen had.

Artikel 32 - Toepasselijk recht en bevoegde rechter

  1. Op deze algemene voorwaarden en iedere onderliggende overeenkomst tussen de Klant en Priscilla Sattar Synergy Minds is Nederlands recht van toepassing. 
  2. De rechter in het arrondissement van de vestigingsplaats van Priscilla Sattar Synergy Minds is exclusief bevoegd om kennis te nemen van eventuele geschillen tussen de Klant en Priscilla Sattar Synergy Minds, tenzij de wet iets anders bepaalt.
